Vision Provokers T&C

(SECTION 1) DEFINITIONS

Voluntary Independent Donor (‘VID’): a registered member

G.I.L.C.C.O.H: God First, Integrity, Loyalty, Competency, Consistency, Openness & Honesty.

Referrer: a VID who personally refers a new member into business.

Referee: a new member who is referred into the business by a VID.

Month: a calendar month, e.g. 1st January through to the 31st January.

Domestic: pertaining to the VID’s home country.

Down-line: all VIDs referred into business under the initial VID, up to the 3rd generation.

Buying Value (‘BV’): points allocated to each Products item that form part of the loyalty reward program.

Registration Fee: The non-refundable amount of money stipulated by the Company and required to be paid by a prospect to become new member of Vision Provokers.

Team Volume Incentive (‘TVI’): a payment as determined by the company to a qualifying VID who bought their current products and donated towards charity.

Active VID:

  • A member who has accumulated 100 BV with their current Products purchases of choice in RSA currency or in their home country during a calendar month.
  • The active status of a VID is established each month and is part of the qualification requirement to receive a TVI.
  • If no Products purchased with a total of 100 BV minimum accumulation within a particular calendar month means no incentive payment for a particular month.
  • Each item has BVs attached to it.
  • Payment of incentives is the prerogative of the Company to reward its customers, it is none-compulsory. It should be paid or released once the account maintenance after the qualification is done for the entire team that propelled the qualification of the recipient.

Participating country: a country that has permitted Vision Provokers to operate within their borders and engage their citizens for participation.

Company Recognised Ambassador (‘CRA’):

Re-Referring VID: a VID who has quit the business cannot be allowed to be Re-Referred by a new/different Referrer within the period of 12 calendar months from the date of termination.

Suspension: A temporary status that prohibits a VID from, receiving incentive payments and referring other VIDs

SECTION 2: INTRODUCTION

a. Vision Provokers is a company originated in Pretoria, Gauteng Province in the Republic of South Africa. It is a company that has a vision of truly, honestly and practically changing the economic landscape of the African continent. The company is incorporated in accordance with, and governed by the provisions of the Companies Act, 2008, without any limitation, extension, variation or substitution; and the provisions of its Memorandum of Incorporation.

b. We are a principled God fearing company guided by G.I.L.C.C.O.H principles which are the seven dimensions of trust led by an additional one being God first. We are here not to compete but to dominate our own space and territory since we are altogether unique.

c. Vision Provokers provides each VID with the best support staff and Loyalty Reward Program in the industry. Our unique business model provides an opportunity for our members to improve the quality of their lives, contribute towards charity via our none-profit organisation Vision Provokers Foundation and equal access to succeed through social cohesion. Buying and selling of products is encouraged by the company, to accumulate 100 BV per calendar month.

d. Vision Provokers does not guarantee that a VID will achieve financial success without working or by relying solely on the efforts of others. One has to ensure that a minimum of 100 BV is accumulated by purchasing Products of choice within a calendar month.

e. Compensation of VIDs is the company’s prerogative and based on a VID accumulating 100 BV by purchasing Products items of choice and also 100 BV accumulated by not more than 20 VIDs directly Referred under the 1st generation, not more than 400 VIDs in the 2nd generation and not more than 8000 VIDs in the 3rd generation. The purchases are done via our E-store and a direct deposit into the company’s business account.

f. The fundamental purpose is to build a solid foundation within communities, promote social cohesion and practically eradicate poverty within the African continent. Enhance the spirit of Ubuntu (Humanity) to ensure that an African child does not go to bed with an empty stomach and has the buying power to sustain an African economy.

g. A successful VID gains exclusive knowledge of the company and direct marketing industry by attending training meetings, maintaining cohesive relationships with down-lines and to understand our acronym G.I.L.C.C.O.H.

h. A VID who has questions or requires clarification should contact Vision Provokers dedicated support by emailing admin@visionprovokers.co.za

i. Strictly RSA Identity document or a valid International passport including a once off none refundable R50 registration fee is required to subscribe to our loyalty reward program.

j. The Vision Provokers business model provides for active VIDs to receive TVIs for their contributions and those of their Referred group by which active VIDs will receive an incentive based on their Products purchases and membership maintenance made by their teams.

k. VIDs agree that the company has the right to change the Loyalty Reward Program, the rates of incentives paid by the company and the events in respect of which incentives are paid, at any time on not less than (30) thirty days’ written notice.

SECTION 3: CONDUCT POLICY

a. Company Policies have been implemented to provide restrictions, rules and regulations for good conduct, marketing procedures and to prevent improper, abusive or illegal acts. Such policies are revised, modified and added to, from time to time.

b. Revisions, modifications or amendments to the company policies and the Code of Professional Conduct shall be published on www.visionprovokers.com and shall become effective 30 calendar days after publication. No amendment to the rules will require VIDs to incur any expenditure, but they may be required to amend their business practices.

c. Any acts or lack of action, which results in a misuse, misrepresentation or violation of the company policies and/or the code of professional conduct, may cause termination of membership granted to participate and use Vision Provokers registered trademarks and other marks, including the right to do any presentation in the name of Vision Provokers.

d. All VIDs agree to comply with the rules and regulations set out in this document and agree that the company has a right to change these rules at any time on not less than thirty days’ written notice.

e. VIDs agree to comply with those rules, as amended, and that they form part of their contract with the Company. Any changes to the policy handbook will be communicated to VIDs via company’s communication tools and VIDs agree that this is sufficient notification.

f. VIDs agree that if they are inactive, and in consequence do not receive communication, they are still bound by any change to the policy handbook set out in that correspondence.

g. All VIDs are customers. They are not agents, representatives or employees of the company. They are to conduct their information sharing within their own time and acceptable means of operation they may choose, as long as they are not in violation of any company, governmental or legislative rules, regulations and conform to all the agreed terms contained in the company policies, the G.I.L.C.C.O.H principle and any other applicable regulations such as Financial Service Conduct Authority or codes of practice.

h. Charity contributions of 5% from a VID’s incentive(s) is compulsory and none-negotiable.

SECTION 4: PROHIBITION POLICY

a. A VID may not, under existing legislation, set up bank accounts in the name of Vision Provokers, or by any other means ‘pass themselves off’ as Vision Provokers.

b. Any transfer other than by inheritance of a VIDs down-line, without prior company approval, is prohibited and any such transfer shall be void. For the purpose of this provision, a change of beneficial interest of a trust held by the VID shall be treated as a transfer. This requires written approval by the company to be valid.

c. Except as herein provided, a VID is prohibited from, directly or indirectly, changing Referrers. Vision Provokers will only consider the first valid application received by the Head Office. Subsequent applications shall be disallowed.

d. VIDs may not make any representation, expressly or by implication, regarding the amount or level of income, including full-time or part-time income that a prospective VID can reasonably expect to earn.

e. Implied representations of income that a VID reasonably can expect to earn include, but are not limited to, representations and/or images used to show a dramatically-improved, luxurious or lavish lifestyle.

f. It is illegal for a VID to persuade anyone or mislead by making claims that high earnings are easily achieved. VIDs are prohibited from posting their monthly earnings more than R19 999, 99 on any social media platform.

g. VIDs and any resulting down-line, created or operated by proxy, either intentionally or inadvertently, is prohibited, and shall be adjusted for compliance with company policies and the code of professional conduct by the Executive Committee.

h. A VID is prohibited from attempting in any manner to induce, coerce or persuade any other VID to terminate their position, cease doing business or reduce his or her business-building activities for any reason.

i. Prohibited activities causing grounds for termination and liability for any damages caused by such acts include, but are not limited to, the following conduct:

  • i. Fraudulent referring of a VID is prohibited from referring individuals without the knowledge of and execution of a member application and agreement by such individuals.
  • ii. The fraudulent referring of an individual as a VID, or the referring or attempted referring of non-existent individuals as VIDs (‘phantoms’) to qualify for incentives.
  • iii. Prohibition by any VID from any action or failure to act which evidences intentional disregard and gross negligence of Company Policies or the Code of Professional Conduct.
  • iv. Using unauthorised marketing items.
  • v. The Company’s prior written approval is required to use, produce or sell any aid or materials other than those provided by Vision Provokers.

j. Where the company or its staff become aware of such conduct, a written warning will be sent to the contact number or email address on file at Head Office, requesting the VID or their associates to cease and desist from such conduct.

k. If the VID does not heed this warning and respond to Head Office with a written undertaking to cease and desist, then the company reserves the right to suspend or terminate the VIDs agreement with immediate effect.

SECTION 5: DATA POLICY

a. When a VID changes residence to a different country, he/she must notify the old country of residence so that the address can be changed and a new home country assigned.

b. VIDs are responsible for ensuring Head Office holds the correct details for correspondence and payments. The company cannot be liable for any losses incurred through a VID failing to update their details.

c. If a VID has questions about or believes any errors have been made regarding the personal information, incentives, down-line activity reports, or changes; the VID must notify the company within seven (7) days of the date of the purported error or incident in question.

d. Vision Provokers will not accept responsibility for any errors, omissions or issues not reported within seven (7) days.

e. Independent VID websites, marketing and promoting the business opportunity, without online sales or Referring, are permitted so long as they comply with, or are modified to, comply with company policies and the code of professional conduct.

f. A VID may not use the name ‘Vision Provokers’ or any of its trademarks, trade names, product names, domain names (URL) or copy/use any company materials from any source that may result in misleading or confusing the user into thinking the VID’s website is that of the company or any of its official affiliates.

g. A VIDs website must clearly indicate that it represents a VID who is not an agent of the company.

h. Websites and social media sites created by VIDs must clearly state that they, the individual, are independent and not an employee of Vision Provokers.

SECTION 6: TERMINATION POLICY

a. Intentional acts of omission and disregard for the company policies by a VID shall be severely dealt with and may include termination and legal action for damages.

b. Termination means a severance of all domestic and international privileges and contractual rights available to a VID.

c. The termination will result in the inability to qualify for incentives, and severance of participation in all other benefit programmes available to a VID.

d. Vision Provokers shall have the exclusive right to terminate a VID’s membership without notice, if he/she engages in conduct that, in Vision Provokers’ reasonable judgment:

  • i. Is contrary to the purpose of Vision Provokers.
  • ii. Is unbecoming of a VID.
  • iii. Is or could be harmful to the interests of Vision Provokers; or could bring the company into disrepute.

e. The Executive Committee’s decision to terminate a VIDs membership or to disallow, realign or adjust the TVI, PC, compensation or any incentive awards for any VID’s involvement in activities or omissions that are not in conformance with company policies or the code of professional conduct shall be final.

f. A terminated VID shall, upon demand by Vision Provokers, be liable to repay, return or compensate Vision Provokers for any benefit programs, prizes, inventories, or Incentives received from Vision Provokers from and after the date of the activities causing such termination.

g. After recouping any costs or damages resulting from the terminated VID’s conduct, forfeited incentives, caused by such termination, shall be retained by the company.

h. Upon termination under this section(s), VIDs are forbidden from making derogatory or disparaging statements concerning Vision Provokers to any third party.

i. After 12 calendar months, a terminated VID may reapply subject to home office approval. Upon such approval the VID will enter as a new member, and will not have the previous down-line organisation restored.

j. If a VID wishes to terminate their VID agreement, they may do so at any time by giving seven (7) days written notice to the company at its Head Office.

k. If a VID terminates their VID agreement, or if the company terminates it, they will not receive a refund.

l. The VID may only re-register after 12 calendar months from the date of termination by completing a new application form.

m. Terminating VID forfeits all down-line, including those in foreign countries, established at the time.

n. Following termination, their down-lines are transferred to their Referrer in the existing generation sequence.

SECTION 7: LOYALTY REWARD PROGRAM POLICY

a. Active PCs determine a VID’s active status each month.

b. A non-active VID (no 100 BV purchases in a month) will not receive a TVI for that month.

c. Consistency is the crux of this business.

d. If a VID skips two consecutive months without purchasing products, their membership will be terminated and their down-line moves up to fill the gap.

e. Failing to acquire 100 BV in a month forfeits that month’s TVI; it cannot be carried over.

f. To qualify for TVI, a VID must submit an online application and acquire 100 BV through product purchases.

g. A VID must be active and meet all requirements of the Loyalty Reward Program during the month incentives are accrued.

h-j. TVI earnings by generation:

  • 1st Generation: R10 per directly referred VID (up to 20), each must have 100 BV.
  • 2nd Generation: R20 per VID, each must have 100 BV.
  • 3rd Generation: R30 per VID, each must have 100 BV.

k. VIDs must claim monthly incentive earnings between the 1st and 2nd day of each month; payments on 10th day.

l. VIDs who forfeit TVI may requalify the following month.

m. By completing the application, VIDs agree that 5% of earnings go to the Vision Provokers Foundation.

n. VIDs are responsible for taxes in their home country or business country.

o. Any other marketing or business costs are the VID’s responsibility.

p. Company recognitions for achieving levels:

  • Vision Diamond: 20 referrals in 1st Generation.
  • Level 1 – Silver Manager: 155 individuals in team (5/25/125 per generation) earning R4,300 TVI.
  • Level 2 – Platinum Manager: 1,110 individuals (10/100/1,000) earning R32,100 TVI.
  • Level 3 – Gold Manager: 3,615 individuals (15/225/3,375) earning R105,900 TVI.
  • Level 4 – Palladium VIP: 8,420 individuals (20/400/8,000) earning R248,200 TVI.

q. Incentives per level:

  • Level 1 – Silver Manager:
    • 5?rnings towards charity
    • Cell phone
    • R5,000 gift voucher
    • Quarterly awards after 1 month maintenance
    • R1,250 monthly travel allowance (maintain active members per generation: 5/25/125)
  • Level 2 – Platinum Manager:
    • 5?rnings towards charity
    • Medical Aid Entry Level
    • R10,000 Leadership Recognition Award
    • Refrigerator/Washing Machine/Laptop
    • Quarterly awards after 1 month maintenance
    • R3,000 Monthly Travel Allowance (10/100/1,000 active members)
  • Level 3 – Gold Manager:
    • 5?rnings towards charity
    • Medical Aid Improved
    • R50,000 Leadership Recognition Award
    • Car Award
    • Quarterly awards after 1 month maintenance
    • R4,000 Monthly Travel Allowance (15/225/3,375 active members)
  • Level 4 – Palladium VIP:
    • 5?rnings towards charity
    • Holiday package (destination by company) with partner
    • R80,000 Leadership Recognition Award
    • Medical Aid
    • Car Award
    • R5,000 Monthly Travel Allowance (20/400/8,000 active members)

r. Third-party charges outside the country are the VID’s responsibility.

s. If contributions for paid incentives are declined or charged back, recovered incentives will be deducted from future payments.

SECTION 8: INTERNATIONAL POLICY

a. A VID can be referred into a country outside their home country by following the procedure outlined below:

  • The VID’s original username linked to the country of registration will be used in all countries into which they are internationally-Referred.
  • When a VID achieves PCs from the company, it becomes effective immediately upon qualification and is reflected in all other countries immediately.
  • When a VID changes residence to a different country, they must notify the old country of residence so that the address can be changed and a new home country assigned.

SECTION 9: MEMBERSHIP POLICY

a. Strictly persons over the age of 18 may subscribe for affiliation to the Vision Provoker’s Loyalty Reward Program. Only one subscription per member is permitted and will be authorised by company administrators.

b. Vision Provokers membership is permanent for every member. It is therefore that every member who achieves the Palladium VIP status with the number of 8 420 down lines.

The following will take effect:

  • The VID will now be recognised as the Company Recognised Ambassador. (CRA)
  • The VID will be honoured with a five star palladium pin. The first four (4) stars will represent the four levels achieved in the program and the fifth (5th) star is the token of appreciation from the founder of the business for having achieved this historic milestone.
  • The new CRA will then be entrusted to fulfil certain functions as directed by the CEO of the company e.g. representing the company for certain charity projects, international business presentations as well as attending board meetings on invitations by the founder of the company.
  • It is therefore the wish of the business model founder to develop five (5) million CRAs across the African continent within the first five years of company operation.

SECTION 10: RETURN POLICY

a. Any VID is permitted to return an item within 24hrs of purchase if not satisfied with the item, provided that the item remains in the same condition as was purchased.

b. The accumulated BV at the time of the purchase will be immediately forfeited.

c. In the event of an item being returned a day after the closing of the activity month, the item will not be accepted thus forfeiting the right to return the purchased item.
